These terms and conditions ("Terms") apply to your use of our mobile applications ("Mobile Application"), our web application ("Web Application") (collectively, the "Applications"), our website, and our services described below and in the form part of the agreement between you and ADA Business Intelligence Corp. operates the website www.adaintelligence.com, ADA Business Intelligence Corp. is a Delaware general corporation. By using the ADA Apps and Website, you agree to these Terms. You should carefully read these Terms together with our Privacy Policy, Cookie Policy, and Statement of Ethical Principles and only use our services if you are over 18 years of age and accept the terms and conditions described herein to the fullest extent of your faculties.

These Terms do not have a fixed or minimum duration. They will apply until you or we terminate this agreement (see 'Your Right to Cancel' and 'Our Right to Suspend, Restrict or Terminate This Agreement').

By registering, or clicking on the authorization boxes provided for the privacy policy and the terms and conditions, and you access the platform and take the tests offered by ADA either in its free or paid versions, it is understood that you (natural person, legal entity, private company, public institution) are giving your free and informed consent, that you have read and are accepting all of the terms and conditions for Ada Intelligence's services.

What is ADA?

ADA is a robot-shaped representation of our artificial intelligence that was built to:

ADA allows you to access the Measure of Social-Emotional Skills . ADA uses recognized scientific models such as OCEAN and HEXACO to accurately measure social-emotional skills. Our assessments are based on People Analytics and Data Science, ensuring accurate and valuable results for personal and professional development. Features: Assessments based on OCEAN and HEXACO models; Detailed reports on each skill; Identification of strengths and areas for improvement.

ADA allows you to view and access a dynamic Data Dashboard, a powerful tool that allows companies to access and visualize detailed data about their team's social- emotional skills. With interactive charts and advanced analytics, you'll be able to gain deep, actionable insights. Features: Interactive graphics and clear visualizations; Global and group statistics; Individual reports detailed by skill.

ADA Generates a Custom Report: according to the answers that users give to the tests within the ADA platform. An automatic report is generated where each user accesses the detailed results of their socio-emotional skills, based on scientific foundations. These reports facilitate individual understanding and offer specific recommendations for ongoing development. Features: Reports tailored to each individual; Specific recommendations for development; Easy access and understanding.

ADA Allows Organizations to Create Custom Tests: Companies can design Assessments that Are Tailored to their Specific Needs. Our software allows the creation of Tests that fit the measurement of the company's socio-emotional skills.

ADA allows companies to create Unlimited Testing: Unrestricted Access for Continuous Assessment. With ADA, companies have access to Unlimited Testing, allowing for continuous assessment of their team's social-emotional skills. This functionality ensures that you will always have up-to-date and relevant data to make informed decisions.

ADA has High Ethical and Scientific Standards: Commitment to Ethics and Science in Every Evaluation, our priority is ethics and scientific accuracy. Our assessments are based on rigorous scientific principles and adhere to the highest ethical standards, ensuring reliable, safe and bias-free data.

Although ADA works to measure social-emotional skills and provide the user with ethical, safe, and reliable data, at no time should reports or metrics be used as "advice, consultation, advice," nor is it a substitute for seeking medical, psychological, psychiatric, clinical, mental, or emotional health advice.

The numerical data and written report generated by ADA should NOT be used as any type of clinical, psychiatric, psychological, or medical measurement.

The purpose of the results is that users have a starting point with data on their socio- emotional skills and in a later phase they can work with the help of competent professionals to learn or continuously improve the skills in question.

ADA is NOT responsible for the use, interpretation, and handling by third parties of the data and reports generated by the measurement made by the platform.

We are constantly developing and improving the ADA mobile app, the ADA web app (collectively, the 'Apps'), and the ADA website, so we will also be reporting on new ADA features that we release in the future.

ADA will continue to grow, advance, and learn from its users so that we can provide you with a personalized experience that will be of great help to you.

How is ADA's relationship with Data?

Without access to your personal data and the right to process it as required and set out in this Privacy Policy, ADA cannot perform for you the core functions for which it has been designed.

Your privacy and security are our number one priority and your data is always protected by the strictest levels of processing and security.

Please see our Privacy and Cookie Policy for details on how and on what basis we collect information about you and the ways in which you and your data are protected.

As part of the service, ADA may provide content, links to websites, and offerings from various third parties. If you switch to a new product or service thanks to ADA, we are not responsible for the products and services provided to you by these third parties; These are under the terms and conditions of the third party itself.

ADA's Commitment to Data Anonymization Principles

ADA recognizes the importance of protecting the privacy and confidentiality of user data and is committed to implementing a data anonymization process that complies with the following principles:


1. Proactive Principle: The protection of privacy is the first objective of the anonymization process and its management will be carried out proactively. From

the conceptual beginning of the design of the information system or product used in the anonymization process, the necessary measures will be taken to guarantee the privacy of individuals. Privacy cannot be guaranteed a posteriori, so it is essential to ensure that there are no possible chains of re-identification of data subjects in anonymized data.

2. Privacy Principle by Default: The first conceptual requirement in the design of an information system will be to guarantee the confidentiality of the interested parties. Therefore, privacy will be safeguarded from the beginning, taking into account the granularity or degree of final detail that the anonymized data must have. Maintaining a qualitative or quantitative scale of information sensitivity is a useful tool for the elimination of variables, according to pre-established granularity criteria.

3.Objective Privacy Principle: As a result of the Personal Data Protection Impact Assessment (DPIA), a residual risk threshold of re-identification will be established that will be assumed by the data controller as an acceptable risk. This threshold will be known to the recipient of the anonymised information and, where the data are for public use, the risk will be publicly communicated to the persons or entities using the information.

4. Principle of Full Functionality: From the beginning of the design of the information system, the final usefulness of the anonymized data will be guaranteed, avoiding distortions in relation to the non-anonymized data. The usefulness of anonymised data shall be ensured without distorting their meaning. If necessary, the recipient of the information shall be informed of the reason for any distortion used in the anonymisation process.

5. Principle of Privacy in the Information Life Cycle: Measures that guarantee the privacy of data subjects will be applicable throughout the life cycle of information, from unanonymized information to anonymized information. Measures will be taken to ensure privacy throughout the process, including the elimination of identifying variables, audits on the use of information, and procedures for destroying information.

6- Principle of Information and Training: Training and information will be provided to the personnel involved in the anonymization process and in the exploitation of anonymized information. All personnel with access to the data will be trained and informed about their obligations in relation to data privacy. The design of the information system or product will contemplate these needs from its conception, taking into account the profiles and needs of each actor involved in the process.

By using the ADA software, users agree that their data may be anonymized in accordance with the principles set forth above to protect their privacy and confidentiality.

How much does ADA cost?

There is a version of ADA that is free to use. For this version, there is no subscription charge or price you need to pay.

There are also versions of ADA that provide access to certain ADA features or enhanced ADA features in exchange for subscription fees. These fees are paid in advance to access "paid" features or at the end of any applicable free trial period.

Subscription fees may only be paid annually. All subscription fees are paid in advance. ADA users will have the annual fees in effect at the beginning of the next billing period. You agree to pay subscription fees, either on a one-time or subscription basis. ADA reserves the right to increase subscription fees, any associated taxes, or to add new fees at any time upon reasonable notice to you.

ADA also reserves the right to discount subscription fees at any time and to have these discounts applied to some or all customers. You have the right to cancel your subscription at any time. Please see the section titled "Your Right to Cancel" for more information on how to do so.

As you might expect, these Terms only cover the services we provide. They do not deal with taxes or costs that may be charged by third parties and that you must pay to receive our services (for example, costs charged by your internet provider).

Using ADA

To use ADA, you must download the mobile app or access the web app and register to create an ADA account with your legal name and real, verifiable personal details. You can only register once for each email registered as your login details.

If you choose not to use ADA for a period of time, we may pause some features that depend on our processing of your information (e.g., updating your user on our platform). These features will reset when you log in to the apps again.

Your use of the ADA mobile application is also subject to the terms and conditions and privacy policies of the app store from which you downloaded it.

Some parts of the ADA service depend on other people (third parties and partners). We always try to keep ADA available, although we can't promise that it will always be or that it will work perfectly, especially if applications or an associated service are under maintenance. If this happens, we will let you know if we think you need to know and get everything up and running as soon as we can.

In order for the mobile app and web app to work, your device must meet the requirements of our operating system. You can check them here. If we know your device's operating system and plan to stop supporting it, we will give you at least 30 days' notice. If you paid for an annual subscription upfront and we stop supporting your device's operating system, causing the ADA service to degrade, please contact us at legal@adaintelligence.com, to arrange a refund. If you do not install OS updates and new versions of the mobile app, the mobile app and web platform may not work properly or at all, and you will still be charged the subscription fee, so we recommend installing updates when they become available.

The mobile application may also not function as designed if your device has been modified or tampered with (better known as "jailbreaking" or "rooting"), or if you use software that may interfere with our ability to provide the services.

For the ADA web application to work, you must use supported browsers and keep themup to date. You can check the supported browsers here. If we know your browser and plan to stop supporting it, we will give you at least 30 days' notice. If you paid for an annual subscription in advance and we stop supporting your browser, causing the ADA service to degrade, please contact us at legal@adaintelligence.com, to arrange a refund. If you do not start using a supported browser, the web application may not work properly or at all, and you will still be charged the subscription fee, so we recommend that you check the list of supported browsers and keep your browser up to date.

1. Age Restriction

Prohibited Use by Minors: ADA is not designed or intended for use by minors.

2. Purpose of ADA

Social-Emotional Skills Measurement: ADA provides data and metrics on social-emotional skills with the goal of offering ethical, safe, and reliable

information to users.

No Substitution for Professional Advice: The reports and metrics generated by the ADA should not be construed or used as advice, consultation, or

professional advice. They do not replace the need to seek medical, psychological, psychiatric, clinical, mental health, or emotional counseling.

3. Limitations of Use

Prohibition of Clinical Use: Numerical data and reports generated by the ADA should not be used as clinical, psychiatric, psychological, or medical measures.

Objective of the Results: The results provided by ADA are intended to serve as a starting point for users to understand their social-emotional skills. Subsequently, it is recommended to work with competent professionals to improve these skills on an ongoing basis.

4. Disclaimer

Use by Third Parties: ADA is not responsible for the use, interpretation and handling that third parties may give to the data and reports generated by the

platform. The responsibility for interpreting and applying the data lies entirely with the user and any professionals with whom they choose to collaborate.

AUTHORIZATION OF THE DATA SUBJECT:

Means and manifestations to grant the authorization

The authorization may be contained in a physical or electronic document, data message, Internet, Websites, in any other medium that allows its subsequent consultation to be guaranteed, or through a suitable technical or technological mechanism, which allows consent to be expressed or obtained via click or double click, by means of which it can be unequivocally concluded that, if the owner has not behaved in a way, the data would never have been captured and stored in the database. The authorization will be generated for ADA INTELLIGENCE to execute the terms, conditions of use and privacy policy and will be informed and made available to the owner in advance and prior to the processing of their personal data.

Intellectual property

All content, features, and functionality of ADA Business Intelligence Corp.'s software (including, but not limited to, all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are the property of ADA Business Intelligence Corp., its licensors, or other providers of such material and are protected by copyright laws, trademarks, patents, trade secrets, and other United States and international intellectual property or proprietary rights laws.

ADA grants you a non-exclusive, non-transferable license to use the Applications and Website solely for your personal use. ADA has the right to revoke your license at any time if you fail to comply with these Terms. All other rights in the Applications and Website are reserved by ADA or its licensors. ADA (or its licensors) own all intellectual property rights in the Applications and the material published on them. Those works are protected by copyright laws and treaties around the world. All rights reserved.

Our status (and that of any identified contributors) as the authors of the content of the Apps and website must always be acknowledged. You must not use any part of the content on our applications or website for commercial purposes without obtaining a licence to do so from us or our licensors.

Intellectual Property Rights

Copyright Act: Protects the copyright in the software, including the source code, documentation, and any associated original material.

Lanham Act (Trademark Act): Protects ADA trademarks, including logos, names, and slogans that identify the software.

Patent Act: If ADA has obtained patents on certain innovative technologies or methods used in its software, these will be protected under patent law..

Defend Trade Secrets Act (DTSA): Protects trade secrets at the federal level, including algorithms and other sensitive software know-how.

Delaware State Laws:

Delaware Trade Secrets Act: Protects trade secrets at the state level, complementing the federal protection of the DTSA..

Limited License Grant

License of Use:

ADA Business Intelligence Corp. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software solely in accordance with these terms and conditions. This license is granted for your personal or internal, non-commercial use and is subject to the following restrictions:

Restrictions on Use:

You shall not modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from ADA Business Intelligence Corp.'s software.

You shall not reverse engineer, decompile, or disassemble the Software, except to the extent that such activity is expressly permitted by applicable law,

notwithstanding this limitation.

You shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices from the software.

Software Ownership:

You acknowledge that all right, title, and interest in and to the Software, including any updates, enhancements, adaptations, translations, or other modifications, are and shall remain the exclusive property of ADA Business Intelligence Corp. or its licensors.

Termination:

ADA Business Intelligence Corp. may, in its sole discretion, at any time, terminate or suspend your access to the software for any reason, including, but not limited to, breach of these terms and conditions. In the event of termination, your right to use the software will cease immediately.

Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or in connection with these terms and conditions shall be resolved exclusively in the state or federal courts located in the State of Delaware..

Prohibited Uses

You agree:

Not to reproduce, duplicate, copy or resell any part of our site or app in contravention of the provisions of these terms.

Do not access without authorization, interfere with, damage or alter::

any part of our site or our Apps or website;;

any equipment or network on which our website or applications are stored;

any software used in providing our website or our Apps; or

any equipment, network, or software owned or used by a third party.

Keeping You Safe

When you sign up, you choose a username and password that you must keep secret. If you forget it, we will be able to help you reset it in some circumstances. We will never ask you to tell us your security password so you should not share it with anyone, even if you think you work for ADA.

The mobile app may also use your device's biometric capabilities (such as fingerprints or facial recognition) to give you access, if you choose to enable them. To securely log in to the web app, you'll need to have downloaded the mobile app.

As with any service that contains your personal information, it's important to keep your login details secure. We will ensure that your ADA security credentials cannot be accessed by other parties and that they are transmitted through secure and efficient channels.

You must take all reasonable steps to keep your password(s) and the device on which the mobile application is installed or on which the web application is accessed secure, and you will not disclose your username, password, or allow anyone else to use your ADA username. You must not leave the device you are using unattended while connected to the Applications. If you get rid of your device, you must delete the mobile app and/or ensure that the web app is no longer accessible.

If the device on which the apps are installed or accessed is lost or stolen, or if you suspect that someone else may know your security password, you should let us know immediately and we will help you change your security password ADA is not responsible for any of your losses resulting from disclosing your security password to someone else or having it accessed by someone else.

Contacting ADA

We will provide you with ADA information and notifications primarily through the Applications, although we may also send ADA information to your email address or mobile number via SMS where we deem it appropriate. Please see our Privacy & Cookie Policy for more information on how it works. You are responsible for maintaining and periodically reviewing your mobile application, web application, device, or email inbox for information and notifications from us.

If your contact details (including your mobile phone number or email address) change, you should inform us as soon as possible or update them in the Apps if that feature is available. ADA can communicate with you in English and Spanish.

Your right to cancel

You have the right to cancel the free version of ADA at any time, free of charge. You may request this by emailing us legal@adaintelligence.com, or from the Applications if that feature is available.

You also have the right to cancel our paid subscription service at any time after you have entered into an agreement to sign up for a subscription with us. Your rights to a refund will vary depending on whether you canceled in the first 14 days of your subscription or after the first 14 days.

If you decide to cancel within the first 14 days after being charged, you can request a refund from the relevant app store by following their standard refund process. When the refund is processed, you will lose access to the paid subscription features at that time. ADA does not control the refund process, so you are subject to the terms and conditions of the applicable app store. Any refunds provided will be full.

If you choose to cancel outside of the first 14 days, no refunds will be made unless otherwise stated in these Terms, no further subscription payments will be made, and your access to paid subscription features will end at the end of the current month. of your subscription if you have chosen a monthly plan, or the end of the current year of your subscription if you have chosen an annual plan.

Free Trials

From time to time, we may offer free trials of the "paid" subscription service. Additional terms will apply to these free trials, which we will provide to you prior to starting the trial. The free trial will never affect your legal right to cancel the subscription agreement in the first 14 days, set forth above.

Our right to suspend, restrict, or terminate this agreement

We may stop providing you with the service if you haven't used ADA in a while, but we will always check with you before doing so.

We may also close or freeze your account without your permission if you have abused an ADA or community staff member or submitted inappropriate and/or offensive content.

We may at any time suspend, restrict, or terminate your use of our service, your account, or the Applications if we believe that your security may have been breached, or that your privacy could be at risk due to attempted fraudulent activity, or if your location poses a risk to ADA's security, even if:

1. we reasonably believe that your security password has not been kept secure or that the security of your mobile application or the device on which it has been installed or the security of your web application has been or may be compromised;;

2. we reasonably suspect that your security password, the Applications, or the devices on which they were installed or accessed have been used fraudulently or without your permission;;

3. we reasonably suspect that you are fraudulently attempting to gain access to ADA offers or promotions;

4. Your account is accessed from specific locations that ADA considers to be a high security risk; or

5. We must do so in order to comply with the law of any jurisdiction..

Unless informing you would compromise reasonable security measures or be unlawful, we will inform you before suspending, restricting, or terminating our service, your account, or the Applications, and we will inform you of the reasons why we have done so. If it is impractical to inform you in advance and unless doing so would compromise reasonable security measures or would be unlawful, we will inform you immediately thereafter, explaining the reasons why we have suspended or terminated your service. We will allow you to resume use of the Applications or the service as soon as practicable after the reasons for discontinuing your use no longer exist.

If we need to contact you regarding suspected fraud or any other security threat, we will do so in a manner that we consider most secure under the circumstances.

Our responsibility

If we fail to comply with these Terms, we are liable for any loss or damage you suffer that is a foreseeable result of our failure or our failure to use reasonable care and skill, but we are not liable for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is obvious that it will happen or if, at the time you accepted these Terms, both we and you knew it might happen.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation.

If the faulty digital content we have provided damages a device or digital content belonging to you, and this is because we fail to use reasonable care and skill, we will repair the damage or pay you compensation. However, we will not be liable for any damages that you could have avoided by following our advice to apply an upgrade offered to you free of charge.

We are not responsible for business losses. We only provide the Apps for your home and private use. If you use the Applications for any commercial, business, or resale purpose, we will not be liable to you for any loss of profits, loss of business, business interruption, or loss of business opportunity.

Making changes to this agreement

These Terms will always be available on the Apps and on our website.

We may make changes to these Terms from time to time. As this agreement does not have a fixed duration, we cannot predict all of the reasons why we might change these Terms, but we have detailed some of them below. We will only make changes that are proportionate and reasonable and if we have a valid reason to do so, taking into account your interests (even if it is not one of the reasons set out below).

We could make changes because::

1. We have made changes to our technology or other systems.

2. We have expanded the services we can offer..

3. There have been changes in legislation, changes in regulatory requirements or new case law that affects us.

4. There have been changes in the cost to us of financing our service, or

5. For any other valid reason.

We will implement minor changes immediately (unless we are required by law to notify you) and will give you reasonable written notice by email or via the App of any planned significant changes to the Terms in conjunction with the new version of the Terms. If you do not agree with the changes, you may close your ADA account by emailing us at legal@adaintelligence.com, or from the Applications if that feature is available. If you do not close your ADA account, we will assume that you are happy with the changes we have made. You have the right to terminate this agreement at any time before the proposed change becomes effective.

How to File a Question, Complaint, or Grievance

If you have a question, complaint, or claim, please send us a message from the ADA app or email us at legal@adaintelligence.com,. We will send you a prompt response and get back to you with a full response to your request within 15 business days if we can, but always within 8 weeks of receiving it. We will do our best to fix the problem.

Each of the paragraphs of these Terms operates separately. If any court or competent authority decides that any of them is illegal, the remaining paragraphs shall remain in full force and effect.

Even if we delay in enforcing this contract, we can still do so in reasonable times. If we do not immediately insist that you do something that you are required to do under these Terms, or if we delay in taking action against you in respect of your breach, that will not mean that you do not have to comply with these terms and you do. It will not prevent us from taking action against you in the future.

Governing Law and Jurisdiction

Applicable Laws:

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent that any provision of these Terms and Conditions is inconsistent with applicable law, such provision shall be deemed superseded by the valid, enforceable provision that most closely matches the intent of the original provision.

Delaware Laws:

Delaware General Corporation Law (DGCL): It is the legal body that governs corporations registered in Delaware and sets the rules on the formation, operation, and dissolution of corporations.

Delaware Consumer Protection Laws: The consumer protection laws of the state of Delaware that protect consumers from unfair or deceptive trade practices.

Federal Laws of the United States:

Federal Trade Commission Act (FTCA): Prohibits unfair or deceptive trade practices and establishes the FTC's authority to enforce consumer protection

laws.

Health Insurance Portability and Accountability Act (HIPAA): If ADA handles protected health information (PHI), it must comply with HIPAA privacy and security regulations.

California Consumer Privacy Act (CCPA): If ADA has customers in California, it must comply with the CCPA, which gives consumers certain rights over their personal data.

Competent Courts:

Any dispute arising out of or relating to these Terms and Conditions, their interpretation, performance, or validity, or any transaction or relationship between you and ADA Business Intelligence Corp. shall be resolved exclusively in the courts of the State of Delaware. Specifically, you agree to submit to the jurisdiction of:

Delaware Court of Chancery, for disputes related to equity and corporate governance matters.

Delaware Superior Court, for other disputes of general jurisdiction.

U.S. District Court for the District of Delaware, for disputes involving federal laws or parties from different states.

By using our services, you agree that any legal action or proceeding brought by you in connection with any dispute shall be brought exclusively in such courts and you waive any objection based on lack of inconvenient personal or forum jurisdiction.

Final Acceptance

In reporting the results of any test I take to you, we will mention possible interpretations that are based on research conducted by the ADA INTELLIGENCE team. However, individual researchers who have contributed to this site are not responsible for your use of these suggested interpretations.

If you are not prepared to objectively read interpretations that you may find objectionable, please do not continue.
